Terms of Service

1. Acceptance of Terms

By accessing or using the Taplo platform (“Service”), operated by Taplo (“Company,” “we,” “us”), you agree to be bound by these Terms of Service. If you do not agree, you may not access or use the Service. These terms apply to all users including restaurant owners, staff members, and any person accessing the platform.

2. Description of Service

Taplo is a cloud-based, analytics-first Point of Sale (POS) and restaurant management platform. The Service includes order management, kitchen display system, table management, inventory tracking, vendor management, customer CRM, analytics, QR ordering, staff management, and related features as described on our website.

3. Account Registration

To use Taplo, you must register an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your password and account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years old and have the legal authority to bind your business to these terms.

4. Subscription & Billing

a) Billing Cycles: Taplo offers monthly, quarterly, 6-month, and annual billing cycles. All prices are in Indian Rupees (INR) and exclusive of applicable taxes unless stated otherwise.

b) Payment: Subscription fees are due at the beginning of each billing cycle. Failure to pay may result in suspension of access to the Service.

d) No Refunds: All payments are final. We do not offer refunds for any subscription fees already paid, including partial-period fees, regardless of whether you continue to use the Service. You may cancel your subscription at any time, and access will continue until the end of your current billing period.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Transmit viruses, malware, or other harmful code
  • Use automated means (bots, scrapers) to access the Service without our written permission
  • Resell, sublicense, or redistribute the Service without our written consent
  • Use the Service to store or transmit content that is illegal, harmful, or infringes on third-party rights

6. Your Data

a) Ownership: You retain all rights to the data you input into Taplo (menus, orders, customer records, inventory, etc.). We do not claim ownership of your business data.

b) License: You grant us a limited license to use, process, and store your data solely for the purpose of providing and improving the Service.

c) Export: You may export your data at any time using the export features available within the platform (Excel/PDF formats). Upon account termination, we will make your data available for export for 30 days before deletion.

7. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance (with advance notice), emergency maintenance, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.

8. Intellectual Property

The Taplo platform, including its software, design, logos, documentation, and all related materials, is the intellectual property of Taplo. You may not copy, modify, distribute, or create derivative works based on our platform without prior written consent.

9. Limitation of Liability

To the maximum extent permitted by Indian law, Taplo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or revenue, arising from your use of or inability to use the Service. Our total liability for any claim shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

10. Data Accuracy & Tax Compliance

a) Data Accuracy: Taplo provides tools for recording orders, generating invoices, and tracking inventory. You are solely responsible for the accuracy of the data entered into the platform including menu prices, tax rates, HSN codes, customer details, and inventory quantities. Taplo does not independently verify or audit this data.

b) Tax Compliance: Taplo provides GST calculation features based on the tax rates you configure. You are solely responsible for ensuring that your tax configuration is accurate and compliant with applicable Indian tax laws (GST, CGST, SGST, IGST). Taplo is not a tax advisor and does not provide tax, legal, or accounting advice.

c) Invoice Accuracy: Invoices generated through Taplo are based on data you provide. You are responsible for verifying the accuracy of all invoices before issuing them to your customers. Taplo shall not be held liable for any tax penalties, incorrect billings, or regulatory actions resulting from inaccurate data entered by you.

11. Customer Data Responsibility

When you collect customer information (names, phone numbers, order history) through Taplo, you act as the data controller. You are responsible for:

  • Obtaining necessary consent from your customers before collecting their data
  • Complying with applicable data protection and privacy laws
  • Responding to data access, correction, or deletion requests from your customers
  • Ensuring that customer data is used only for legitimate business purposes

Taplo acts as a data processor on your behalf and processes customer data solely to provide the Service. Taplo shall not be held liable for your failure to comply with data protection obligations towards your customers.

12. Indemnification

You agree to indemnify and hold harmless Taplo, its officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

13. Termination

a) By You: You may cancel your subscription at any time through your account settings or by contacting us. Access continues until the end of your current billing period.

b) By Us: We may suspend or terminate your account if you violate these terms, fail to pay subscription fees, or if we determine your use poses a risk to the Service or other users. We will provide reasonable notice unless immediate action is required.

14. Governing Law & Disputes

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

15. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or in-app notification at least 15 days before they take effect. Continued use after changes constitutes acceptance.
